Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the LocalPublic.tv marketing website and newsletter (the “Site”) and the Local Public Apps streaming platform and content management system made available to public television stations and their authorized end users (the “Service”). By accessing the Site or using the Service, you agree to these Terms. If you do not agree, do not use our services.

1. About Local Public

Local Public (“Local Public,” “LocalPublic.tv,” “we,” “our”) is a Delaware Public Benefit Corporation with the specific public benefit to expand equitable access to, and economic sustainability of, locally relevant and culturally diverse media by supporting public media organizations, independent creators, and community-based storytellers through innovative systems of distribution, discovery, and monetization. We seek to strengthen local media ecosystems by increasing audience reach, enabling fair compensation, and developing sustainable funding and market-based models that empower creators, institutions, and communities to participate in and benefit from the digital media economy. Our services are designed for PBS and dual-licensee public television stations (each a “PTS”) and their Authorized End Users.

2. The Marketing Website

LocalPublic.tv provides information about Local Public Apps and an optional email newsletter. By subscribing, you agree to receive periodic emails and represent that the email address you provide belongs to you. We may suspend or cancel subscriptions at any time without notice.

3. The Local Public Apps Service: PTS Station Partners

Access to the Local Public Apps SaaS, including the CMS, Local Public Apps, data infrastructure, and related services, is available only to subscribing public television stations under a Local Public Apps SaaS Agreement or equivalent. Nothing in these Terms grants any right to access or use the Service. Prospective station partners should contact hello@localpublic.tv.

PTS is responsible for:

  • Compliance with its own end-user terms and privacy policies governing its Authorized End Users
  • Ensuring its use of the Service complies with all PBS obligations
  • All content it publishes through the CMS
  • Maintaining PBS member station good standing

4. Authorized End User Access

If you are an Authorized End User accessing a Local Public App operated by a PTS, your use of that app is governed by the terms and privacy policy of the PTS operating it. Local Public is the technology provider; the PTS is the operator. Questions about membership, Passport access, content, or data should be directed to the PTS.

5. Intellectual Property

Except for content generated or created by PTS or its Authorized End Users, all rights, title, and interest in the Service, Local Public Apps, and all related intellectual property, including software, code, documentation, text, graphics, and logos, are owned by Local Public (or a third-party owner where applicable). PTS-specific branding within Local Public Apps remains the property of the respective PTS. Local Public Apps carry PBS programming subject to PBS’s licensing terms and applicable PBS obligations. You may not reproduce or distribute Local Public content without written permission.

6. Third-Party Links & Platforms

The Site and Local Public Apps may link to external sites or commercial app platforms. We do not control and are not responsible for the content, privacy practices, or terms of any third-party sites or platforms. PTS is responsible for complying with all contractual obligations of the app stores for its Local Public Apps.

7. Modification of the Service

Local Public may add, delete, or otherwise modify Service features in consultation with subscribing PTS clients. Material modifications and PTS’s rights in response to them are governed by the applicable Local Public Apps SaaS Agreement.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LOCAL PUBLIC DOES NOT WARRANT THAT THE SITE OR SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS. UPTIME GUARANTEES AND SERVICE CREDITS, IF ANY, ARE GOVERNED EXCLUSIVELY BY THE APPLICABLE LOCAL PUBLIC APPS SAAS AGREEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCAL PUBLIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY NATURE, INCLUDING LOSS OF REVENUE, ANTICIPATED PROFITS, LOST PROFITS, OR LOSS OF DATA OR USE, ARISING FROM YOUR USE OF THE SITE OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LOCAL PUBLIC’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SITE SHALL NOT EXCEED $100. LIABILITY LIMITS FOR SERVICE USE ARE GOVERNED BY THE APPLICABLE LOCAL PUBLIC APPS SAAS AGREEMENT.

10. Dispute Resolution

Any dispute arising from these Terms or use of the Site shall first be addressed informally between the parties. If not resolved within 30 days, the matter shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), before a single arbitrator, in Seattle, Washington. An arbitration judgment may be entered and enforced by a court of competent jurisdiction. The prevailing party in any arbitration shall be entitled to its costs and attorneys’ fees. Disputes arising from the Local Public Apps SaaS Agreement are governed by the dispute resolution provisions of that agreement.

11. Governing Law, Jurisdiction and Venue

These Terms are governed by the laws of the State of Washington without application of principles of conflicts of laws. Any legal proceeding arising out of these Terms may be brought in the state or federal courts located in Seattle, Washington, and the parties consent to jurisdiction therein.

12. Changes to These Terms

We may update these Terms or the Privacy Policy at any time. Material changes will be posted to the Site with an updated effective date. Continued use of the Site after changes are posted constitutes acceptance.
